(Applies to U.S. Residents for Program 1)

1. Introduction

1.1 PLEASE READ THESE PROGRAM TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING.  BY PARTICIPATING IN THE PROGRAM, YOU WILL BE DEEMED TO HAVE ACCEPTED AND AGREED TO THESE TERMS AND CONDITIONS.  AMONG OTHER THINGS, THESE TERMS AND CONDITIONS INCLUDE LIMITATIONS OF YOUR RIGHTS AND REMEDIES.

1.2 This Invite Friends Program (the “Program”) is brought to you by Skrill USA, Inc., a Delaware company, with a business address of 5335 Gate Parkway, 4^th Floor, Jacksonville, FL 32256 (“Skrill”, “we”, or “us”), and its affiliated companies. Skrill is a provider of digital wallet and other online payment solutions and is a licensed money transmitter under the laws of various U.S. states and registered with FinCEN. 1.3 Except as otherwise expressly set forth herein, these Program Terms and Conditions shall be read together and interpreted in conjunction with the applicable Skrill Account Terms of Use. In the event of any conflict or inconsistency, these Program Terms and Conditions shall prevail (only to the extent of the conflict or inconsistency).

2. The Program 

2.1 This Program shall run from October 29^th, 2025, until December 29^th, 2025 (“Program Period”). This Program is for a limited period only.

2.2. During the Program Period, for this current Program, Skrill is inviting certain Skrill Account holders (each a “Referrer”), who hold a digital wallet account with one of Skrill’s non-U.S. affiliate companies (either Skrill Limited or Paysafe Payment Solutions Limited, and for purposes of these Program Terms and Conditions, referred to together with Skrill, as “Skrill”), to refer friends to Skrill by sharing an invite link (“Invite Link”) and thereby permitting the Account holder to earn ten U.S. dollars ($10 USD) per Referral, up to a maximum of one hundred U.S. dollars ($100 USD) in rewards in total (a “Referral Bonus”), once the eligibility criteria as set out below have been met. A friend who is referred by such Account holder (each a “Referral”) (an invitee) who has met all of the Referral Eligibility Criteria as set out below, will be eligible to receive a reward of ten U.S. dollars ($10 USD) from Skrill. This bonus (a “Welcome Bonus”) will be deposited by Skrill into the Referral’s newly-created Skrill account.

3. How it works

3.1 This Program is available to certain holders of a Skrill digital wallet account (a “Skrill Account”), who have been invited directly by Skrill by means of the Program’s in-account banner or the ‘Invite Friends Program’ section within their Skrill Account, and via different channels, such as email or push notification  (if they have enabled such notifications).

3.2 Skrill will send selected existing Skrill Account holders a unique Invite Link. Such selected Skrill Account holders will find their Invite Link within the ‘Invite Friends Program’ section inside the ‘Profile’ or ‘Settings’ section of their Skrill Account. Referrers are encouraged to share their Invite Link with family, colleagues, and friends to invite them to sign up to Skrill. There is no limit to the number of Referrals that the Referrer may invite, but the Referrer will only receive the Referral Bonus for the first ten (10) friends who complete the Referral Eligibility Criteria. All friends who receive the Invite Link from the Referrer and complete the Referral Eligibility Criteria will be eligible to receive a Welcome Bonus of ten U.S. dollars ($10 USD). For each of these ten (10) Referrals who complete the requirements listed in Section 4, the Referrer will receive a ten U.S. dollars ($10 USD) bonus and may accumulate up to one hundred U.S. dollars ($100 USD) in total for this Program. Referrers may be notified of receipt of a Referral Bonus via push notification and/or email communication sent to their primary email address registered with their Skrill Account, once each one of the first ten (10) friends fulfills all Referral Eligibility Criteria.

4. Eligibility Criteria:  

4.1To qualifyfor the Referral Bonusor the Welcome Bonus,respectively, both the Referrer and the Referral party must meet the respective criteria as defined and set out below. Regardless of the number of Referrals made, Referrer may only receive a Referral Bonus for the first ten (10) Referrals who satisfy the eligibility criteria set out below.

4.1.1 Referrer Eligibility Criteria

In order to participate in the Program, the Referrer must:

1. Be at least 18 years of age;
2. Have an active Skrill Account as per their respective account terms and conditions.
3. Have received an invitation directly from Skrill by means of the Program’s in-account banner or the ‘Invite Friends Program’ section within their Skrill Account, and via different channels, such as email or push notification, if they have enabled such notifications.
4. Have received a custom unique Invite Link directly from Skrill within the ‘Invite Friends Program’ section available in their Skrill Account within the Program Period;
5. Share the Invite Link with friends, colleagues, or family to invite them to sign up to Skrill;
6. Not use offensive language or publish their Invite Link in places that could damage Skrill’s reputation and/or where direct marketing is prohibited;
7. Not use their Skrill Account for commercial purposes;
8. Not reside or be located in any country or jurisdiction wherein Skrill is prohibited from offering Skrill Accounts;
9. Not have their Skrill Account registered and used in any country or jurisdiction where this Program might be considered illegal and/or prohibited.
10. Not be an employee or immediate family member of an employee of Skrill USA, Inc., Skrill Limited, Paysafe Payment Solutions Limited or any other Paysafe Group company. For avoidance of doubt, an “employee” includes contractors and secondees and an “immediate family member” shall mean any individual with any of the following relationships to the employee: a/ spouse, and parents thereof; b/ sons and daughters, and spouses thereof; c/ parents, and spouses thereof; d/ brothers and sisters, and spouses thereof; e/ grandparents and grandchildren, and spouses thereof; f/ domestic partner and parents thereof, including domestic partners of any individual in a/ through g/ of this definition; and g/ any individual related by blood or affinity whose close association with the employee is the equivalent of a family relationship;
11. Not be a service provider to Skrill or any of the Paysafe Group of companies;

The above mentioned are collectively referred to as the “ReferrerEligibility Criteria”.

4.1.2 Referral Eligibility Criteria

In order to participate in the Program and to receive a Welcome Bonus, the Referral must:

1. Be at least 18 years of age;
2. Receive an Invite Link from a Referrer; the Referral party may only take part in this Program if they have received an Invite Link;
3. Follow such Invite Link and enter Referrer’s unique custom referral code on the dedicated Skrill page within the Program Period;
4. Not have an existing Skrill Account nor cancel an Existing Account in order to participate;
5. Register for a new Skrill Account in accordance with the respective Skrill Account Terms of Use via the Invite Link within the Program Period;
6. Successfully complete the identity verification required as per the instructions provided by Skrill within the Program Period;
7. Complete an Eligible Transaction within the Program Period;
8. Not use the Skrill Account for commercial purposes;
9. Not reside or be located in any country or jurisdiction wherein Skrill is prohibited from offering Skrill Accounts;
10. Not register or use their Skrill Account in any country or jurisdiction where this Program might be considered illegal and/or prohibited. Not be an employee or immediate family member of an employee of Skrill USA, Inc., Skrill Limited, Paysafe Payment Solutions Limited or any other Paysafe group company. 11. Not be a service provider to Skrill or any of the Paysafe Group of companies;
     

The above mentioned are collectively referred to as the “ReferralEligibility Criteria”. The Referrer Eligibility Criteria and the Referral Eligibility Criteria shall be collectively referred as “Eligibility Criteria”.

For the purposes of this Program a participant who meets either the Referrer Eligibility Criteria or the Referral Eligibility Criteria, respectively, shall be referred to as “Participant”. Skrill reserves the right to require Participants to provide evidence that they meet any or all of the Referrer Eligibility Criteria or Referral Eligibility Criteria, respectively, and may in its discretion disqualify any Participant if such evidence is not provided within a reasonable time stipulated by Skrill or if Skrill (acting reasonably) is not satisfied that such criteria are met.

5. Eligible Transaction

5.1 The Referral party must complete an Eligible Transaction. For this current Invite Friends Program, an Eligible Transaction is a successful transfer by the Referral Party from an Eligible Merchant to the Referral’s newly opened Skrill Account in the minimum amount of thirty U.S. dollars ($30 USD). For the purpose of U.S. residents, this means the amount in United States dollars (USD) is transferred to the Referral party’s newly opened Skrill Account, from an Eligible Skrill Merchant as referred to in clause 7 “Eligible Merchants”, during the Program Period (an “Eligible Transaction”). Any transaction that is subsequently refunded, in full or in part, by an Eligible Skrill Merchant to the Referral’s Skrill Account shall not be considered an Eligible Transaction. Skrill reserves the right, in its sole discretion, to exclude certain transactions, including but not limited to chargebacks and/or refunds, or any transactions subject to specific prohibitions.

5.2 Skrill is not responsible for any delays or failure to meet any of the Eligibility Criteria due to acts or omissions of third parties, including but not limited to Eligible Merchants, banks and any other payment institutions involved in the processing of the potential Eligible Transaction due to verification checks or any other actions that are beyond the control of Skrill.

6. Payment of Referral Bonus and Welcome Bonus

6.1 Any earned Referral Bonus or Welcome Bonus shall be paid out within ten (10) days into each Referrer or Referral’s Skrill Account, as a free issuance of electronic money in an amount approximately equal to the respective bonus. Alternative payout options (including but not limited to bank account transfers, person-to-person transactions, cash handouts or others) are not available under this Program, and Skrill reserves the right to decline any such requests in Skrill’s sole discretion.

6.2Skrill will make reasonable efforts to deposit the bonuses into the respective Referrer or Referral Skrill Account within the period as stipulated in Clause 6.1. hereinabove without further notice or request.  Skrill reserves the right to extend the time frame for making a Bonus payment for a reasonable time period if in our sole discretion we are required to do so. 

6.3Payment of any Referral Bonus or Welcome Bonus will only be issued to active and non-restricted Skrill Accounts, which are fully verified in accordance with Skrill’s verification requirements and are not subject to any restrictions as stipulated in the respective Skrill Account Terms of Use. Skrill reserves the right to decline any Bonus payment and may revoke the Program completely with respect to a particular Referrer or Referral party if in our sole discretion, we suspect that an unauthorised or fraudulent use of such Referrer or Referral’s Skrill Account has occurred or that any of its security features have been compromised, or such Skrill Account has been suspended, or terminated, or closed. For the avoidance of doubt, if a Referrer or a Referral closes their Skrill Account, or if their Skrill Account has been suspended, and/or terminated during the Program Period, such Referrer and/or Referral shall not be eligible to receive any Referral Bonus and/or Welcome Bonus. Additional information may be required by Skrill to verify compliance with these Program Terms & Conditions.

6.4 The Welcome Bonus to U.S. residents shall be paid out in USD currency, irrespective of the primary currency of the Referrer’s Skrill Account.

6.5 Bonuses are final and non-exchangeable.

7. Eligible Merchants

For the purposes of this Program, an Eligible Transaction must be made with a merchant that supports Skrill payouts (an “Eligible Merchant”). Skrill reserves the right, in its sole discretion, to exclude any merchant from the Program, including if such merchant expressly requests to be excluded. We will notify you by email, to the email registered with your Skrill Account, if a selected merchant is no longer eligible. Any Eligible Transaction, performed before our notification that the affected merchant is excluded from the Program, shall be considered and counted as an Eligible Transaction for the purpose of this Program. 

8. Privacy and personal data

8.1. The processing of participants data is governed by Paysafe’sComprehensive Privacy Notice which can be found on Skrill’s website (https://www.skrill.com/en/footer/privacypolicy/).

8.2. Before sending the Invite Link, Referrer must be satisfied that the person to whom Referrer is sending the Invite Link agrees to receive the Invite Link. By using the Invite Link, Referrer is confirming that they have obtained such approval from the respective Referral.

8.3. Upon sharing the Invite Link with Referrals, Referrer is also sharing with them the Referrer’s unique referral code. By using the Invite Link, Referrer is confirming that they consent to the sharing of their referral code with such Referrals.

9. General

9.1.We reserve the right to end this Program at any time at our sole discretion or to make changes to this Program at any time at our sole discretion by sending written notice to the primary email address registered to each participant’s Skrill Account or by amending these Program Terms and Conditions. Skrill reserves the right to modify, cancel, terminate or suspend the Program in whole or in part, at its sole discretion, if it believes the Program is not capable of being conducted as specified within these Program Terms and Conditions or in the event of a virus, a computer bug or unauthorised human intervention or any other cause that is beyond the reasonable control of Skrill that could corrupt or affect the administration, security, impartiality or normal course of the Program.

9.2. We reserve the right to remove any Participant from this Program where we reasonably believe a Participant has breached or attempted to breach these Program Terms and Conditions or the respective Skrill Account Terms of Use, or attempted to circumvent any security or operational procedures.

9.3. All decisions by Skrill are final and binding and no further correspondence will be entered into with Referrer or a Referral.

9.4. We are not responsible for: (i) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (ii) unauthorised human intervention in any part of the entry process of this Program; (iii) technical or human error which may occur in the administration of this Program or the processing of entries; or (iv) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in this Program or receipt or use or misuse of any Bonus.

9.5.  If you are a U.S. resident, all issues and questions concerning the construction, validity, interpretation and enforceability of the present Program Terms and Conditions, or the rights and obligations of the Participant and Skrill, as applicable, in connection with this Program shall be governed by and construed in accordance with the laws of Delaware, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than Delaware.

9.6. Reserved.

9.7. If there is any discrepancy between the English language version of these Program Terms and Conditions and any translation of these Program Terms and Conditions, the English version shall prevail.

9.8. Insofar as is permitted by law, Skrill, its agents or distributors will not in any circumstances be responsible or liable to compensate a Participant or prospective Participant, or accept any liability (whether direct, indirect, special, incidental, exemplary, punitive or consequential) for or in connection with the participation (or attempted participation) in the Program whether such liability arises from any claim based upon contract, warranty, tort (including negligence), strict liability or otherwise. A Participant’s statutory rights are not affected. However, nothing in these Program Terms and Conditions excludes or limits in any way any liability for death or personal injury caused by Skrill’s negligence, for fraud or for any other matter where liability may not as a matter of law be excluded or limited.

9.9. Skrill shall not be liable for delay in performing, or failure to perform, any of its obligations under these Program Terms and Conditions, if such delay or failure result from events, circumstances or causes beyond its reasonable control, including but not limited to fire, flood, earthquake, adverse weather conditions, strike, war (declared or undeclared), embargo, blockade, legal prohibition, governmental action, riot, insurrection, damage, destruction, flight or other transportation delays or cancellations.

9.10  For the purposes of the Program, Participants grant Skrill and its affiliates a non-exclusive, worldwide, royalty-free, non-transferrable, irrevocable license to copy, use and display any logo, trademark, trade name or other intellectual property (where applicable) of Participant, which may be published on one or more Paysafe Group marketing channels, including but not limited to our websites, emails, and social media pages.
